Assistant Company Secretary

Founded in 1884, The Hong Kong Jockey Club (“the Club”) is a world-class racing club that acts continuously for the betterment of our society. The Club has a unique integrated business model, comprising racing and racecourse entertainment, a membership club, responsible sports wagering and lottery, and charities and community contribution. Through this model, the Club generates economic and social value for the community and supports the HKSAR Government in combatting illegal gambling.

The Division

The Legal & Compliance (L&C) Division supports a full range of legal support and services on legal issues relating to business and operations of the Club. Within the division, the Corporate Secretariat Department is the focal point linking the management of the Club and the Board of Stewards. 

The Department

The Corporate Secretariat Department serves as the central liaison between the Board of Stewards, Board of Management, and all business units of the Club. It oversees the activities of the Board and its committees, as well as group companies, while managing corporate secretarial, governance, and compliance matters. The role requires expertise in company law across multiple jurisdictions, board meeting management, and high-level liaison work. The job holder will act as a key contact point for administrative and governance-related tasks, organize meetings and events, and collaborate effectively with colleagues, demonstrating empathy and respect. This position calls for a proactive professional who can take instructions, learn quickly, and operate independently with minimal supervision.

The Job

  • Handle the full spectrum of company secretarial matters for all local and overseas group companies (including PRC entities), including organizing board, committee, and shareholder meetings, uploading meeting packs to the Convene system, preparing minutes/resolutions, translations, statutory returns and filings, and maintaining proper records of corporate documents.
  • Draft Board papers, resolutions, correspondence, and provide assistance in reviewing team members’ work.
  • Liaise with and provide secretarial support to senior management and business units to ensure timely dissemination of information and facilitate efficient decision-making and approval processes.
  • Conduct research on relevant statutes and regulatory requirements, assist in implementation, and contribute to the development of internal practice guidelines.
  • Promote and uphold good corporate governance by implementing innovative processes and eliminating outdated practices.
  • Maintain compliance with the Hong Kong Companies Ordinance and company laws in overseas jurisdictions, including PRC, ensuring adherence to internal policies and external regulatory requirements.
  • Work collaboratively as part of a team, providing support to colleagues while demonstrating empathy and respect for others’ knowledge and experience.

About You

  • A university degree in a related discipline; HKCGI membership preferred.
  • Minimum 3 years’ relevant experience in company secretarial functions, ideally within large conglomerates.
  • Highly proactive, independent, mature, meticulous, self-motivated, and flexible, with the ability to work under pressure and meet tight deadlines.
  • Capable of taking instructions, learning quickly, and then operating with minimal supervision.
  • Excellent communication and interpersonal skills.
  • Strong verbal and written proficiency in both Chinese and English; Mandarin is a plus.
