Legal Counsel (Investment Funds, 1-year contract)

About the Job

We are seeking an experienced investment funds lawyer to assist the Senior Legal Counsel in providing legal support to the Investment Office of the Club. This role is expected to advise on potential investments in private funds, review investment management agreements and commercial contracts with service providers and assist with strategic projects and other aspects of investment related work.

Key Responsibilities

• Provide legal advice and support relating to potential investments in private investment funds (both close-ended and open-ended), including conducting legal due diligence on potential investment opportunities, reviewing fund offering documents, limited partnership agreements, subscription agreements and negotiating side letters.
• Advise on investor actions or consent requests from underlying funds, including reviewing amendments to fund documents, investor consent or action documents and advising on MFN elections.
• Review, negotiate and advise on investment management agreements
• Review negotiate and advise on contracts with various service providers, including fund administrator, custodians and prime brokers, and other counterparties.

Qualifications

• Bachelor’s and/or Master’s degree of Law from a top-tier law school in Commonwealth Countries, the US or Hong Kong.
• 4-6 years of solid experience with elite law firm funds teams or in asset management sector.
• Proven experience advising LPs / investors in private fund investments and investment management agreements is essential.
• Familiarity with Cayman Islands unit trust structure is an advantage.
• Ability to work collaboratively as a team player.
• Fluent in English with good drafting skills.
