Senior Corporate Secretarial Administration Officer
Job Summary
The Corporate Secretariat Department is the focal point between the Board of Stewards, Board of Management and all business units of the Club. It manages the activities of the Board and relevant committees and group companies, as well as managing corporate secretarial and related compliance matters. The job holder handles a wide range of company secretarial duties for both local and international group companies, including organizing meetings, preparing documents, and ensuring compliance with corporate governance standards. Responsibilities also involve drafting board materials, liaising with senior management, and providing secretarial support. The job holder must be adept at researching and implementing legal and regulatory requirements, promoting good corporate governance, and collaborating with team members while demonstrating empathy and respect.
Major Tasks
- Handle full spectrum of company secretarial matters for all local and overseas group companies (including PRC companies), including but not limited to organising boards, committees and shareholders' meetings, uploading meeting packs to Convene system, preparing minutes/resolutions, statutory returns and filings, and maintaining proper records of corporate documents.
- Provide drafting of Board paper, resolutions, emails, letters etc and provide assistance to review team members' work.
- Liaison with and provide secretarial support to Stewards, Club senior management, Business Units and Voting Members to ensure appropriate information is disseminated to them, enable the relevant parties to execute their duties effectively and facilitate efficient approval process.
- To assist in research, implementation of the relevant statutes and regulatory requirements, and the development of internal practice guidelines.
- Implement process to promote, sustain and uphold good corporate governance, including being innovative to develop solutions and eliminate old-fashioned and ineffective practices.
- Knowledgeable in all aspects of company secretarial practice under the Hong Kong Companies Ordinance and company laws in overseas jurisdictions, including PRC company laws, and ensure compliance with all internal policies and external regulatory requirements.
- Able to work as a team and provide support to colleagues. Shows empathy and respect to others' knowledge and /or experience and listens to their concerns/issues.
Education
Qualifications
Associate member of HKCGI or equivalent.
